1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and A.I. Hero, Inc. ("we," "us," or "our"), concerning your access to and use of AI Hero Studio, including the website, mobile applications, and any related services (collectively, the "Service"). We are registered in Delaware, United States, and have our principal office in California.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with these terms, you must discontinue use of the Service immediately.

We reserve the right to modify these Terms at any time. We will notify you of changes by updating the "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

The Service is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Service.

2. Description of Service

AI Hero Studio is a personal productivity platform powered by AI agents. The Service allows users to:

  • Interact with specialized AI agents for personal productivity (journaling, grocery management, task tracking, event planning, and more)
  • Use voice-based interfaces to communicate with AI agents
  • Manage personal and household information across isolated workspaces (realms)
  • Upload and process documents and images through the platform

3. User Accounts and Representations

To access the Service, you must register for an account using a valid email address. Authentication is handled via one-time passwords (OTP) sent to your email. By using the Service, you represent and warrant that:

  • You have the legal capacity and agree to comply with these Terms
  • You are not a minor in your jurisdiction of residence
  • You will provide accurate, current, and complete account information
  • You will maintain the security of your account and accept responsibility for all activities under your account
  • You will not access the Service through automated or non-human means except through our provided APIs
  • You will not use the Service for any illegal or unauthorized purpose

If you provide information that is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account.

4. Fees, Payment, and Subscriptions

Certain features of the Service may require a paid subscription. You agree to provide current, complete, and accurate payment information. We bill through an online billing system and may change prices at any time with advance notice. Price changes will not affect existing subscription periods.

If your purchase is subject to recurring charges, you consent to our charging your payment method on a recurring basis until you cancel. We reserve the right to correct pricing errors even after payment has been received.

5. Cancellation

You can cancel your subscription at any time through your account settings or by contacting us. Your cancellation will take effect at the end of the current paid term. If you are unsatisfied with our services, please contact us at team@aihero.studio.

6. Free Trial

We offer a free trial to new users who register for the Service. The free trial period and its terms will be specified at the time of registration. At the end of the free trial, you will be notified and may choose to subscribe to a paid plan. If you do not subscribe, your access to premium features may be restricted.

7. AI Agent Responsibilities (Beta Notice)

AI Hero is in Beta. The Service uses language models and AI technologies that are continually being improved. When using AI agents and features, you acknowledge and agree that:

  • AI-generated outputs may be incorrect, incomplete, or misleading. You should independently verify any information before relying on it
  • You are responsible for reviewing and validating all AI-generated content
  • AI agents do not provide professional advice (medical, legal, financial, or otherwise) and should not be relied upon as a substitute for qualified professionals
  • We may store interactions for observability and improving service reliability, but we do not use your data to train AI models
  • You will maintain appropriate oversight for any actions taken based on AI agent suggestions
  • You will not use AI agents to violate laws, regulations, or third-party rights

8. Prohibited Activities

You may not use the Service for any purpose other than its intended use. As a user, you agree not to:

  • Systematically retrieve data to create collections, databases, or directories without written permission
  • Trick, defraud, or mislead us or other users
  • Circumvent, disable, or interfere with security features of the Service
  • Use information obtained from the Service to harass, abuse, or harm another person
  • Upload or transmit viruses, malware, or other harmful material
  • Engage in automated use of the system (scraping, bots, data mining) except through our APIs
  • Reverse engineer, decompile, or disassemble any part of the Service except as permitted by law
  • Interfere with or create an undue burden on the Service or connected networks
  • Copy or adapt the Service's software
  • Use the Service to compete with us or for unauthorized commercial purposes

9. Intellectual Property

The Service and its original content, features, and functionality are owned by A.I. Hero, Inc. and are protected by international copyright, trademark, and other intellectual property laws.

You retain all rights to content and data you create using the Service. By using the Service, you grant us a limited license to host, process, and display your content solely for the purpose of providing the Service to you. We do not assert any ownership over your content.

10. User Content and Contributions

You are solely responsible for content you create, submit, or store through the Service. By submitting suggestions or feedback regarding the Service, you agree that we may use such feedback for any purpose without compensation to you.

We process your content in accordance with our Privacy Policy. We do not use your proprietary content to train general AI models.

11. Software

We may include software for use in connection with the Service. If such software is accompanied by an end user license agreement, the terms of that agreement will govern your use of the software. Otherwise, we grant you a non-exclusive, revocable, personal, and non-transferable license to use such software solely in connection with the Service. Any software and related documentation is provided "as is" without warranty of any kind.

12. Third-Party Websites and Content

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such third-party content, websites, or services.

13. Copyright Infringements

We respect the intellectual property rights of others. If you believe that any material available through the Service infringes upon any copyright you own or control, please immediately notify us at team@aihero.studio with a description of the alleged infringement, identification of the copyrighted work, and your contact information. We will review and address notices of alleged infringement in accordance with applicable law.

14. Service Management

We reserve the right to: (1) monitor the Service for violations of these Terms; (2) take appropriate legal action against violators; (3) refuse, restrict access to, or disable any content or feature at our sole discretion; and (4) manage the Service to protect our rights and facilitate proper functioning.

15. Term and Termination

These Terms remain in effect while you use the Service. We reserve the right to deny access to the Service to any person for any reason, including breach of these Terms. We may terminate your account and delete content at any time without warning.

Upon termination, your right to use the Service ceases immediately. All provisions which by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

16. Modifications and Interruptions

We reserve the right to change, modify, or discontinue any aspect of the Service at any time without notice. We will not be liable for any modification, suspension, or discontinuance. We cannot guarantee the Service will be available at all times and may experience interruptions for maintenance or other reasons.

17. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, A.I. HERO, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

19. Indemnification

You agree to defend, indemnify, and hold harmless A.I. Hero, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, or expenses arising out of: (1) your use of the Service; (2) breach of these Terms; (3) violation of the rights of a third party; or (4) any harmful act toward another user. We reserve the right to assume the exclusive defense of any matter subject to your indemnification.

20. Dispute Resolution

Informal Negotiations

To expedite resolution and control costs, the parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration or litigation.

Binding Arbitration

If the parties are unable to resolve a dispute through informal negotiations, the dispute will be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration will take place in San Francisco, California. The parties agree that any arbitration shall be limited to the dispute between the parties individually; no class-action arbitration or proceedings are permitted.

Exceptions

The following disputes are not subject to arbitration: (a) disputes concerning intellectual property rights; (b) disputes related to theft, piracy, or unauthorized use; and (c) claims for injunctive relief.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to conflict of law provisions. You irrevocably consent that the courts of California shall have exclusive jurisdiction to resolve any dispute arising in connection with these Terms.

22. Electronic Communications

By using the Service, you consent to receive electronic communications from us. You agree that all agreements, notices, and disclosures we provide electronically satisfy any legal requirement that such communications be in writing.

23. Miscellaneous

These Terms constitute the entire agreement between you and us. Our failure to enforce any provision shall not constitute a waiver. If any provision is found to be unlawful or unenforceable, that provision is deemed severable and does not affect the remaining provisions. We may assign our rights and obligations at any time. No joint venture, partnership, employment, or agency relationship is created by these Terms.
